...my fiance and i are planning to get married. she is a u.s. citizen and i am an overstayer since 2004. i initially entered the u.s. legally through h1-b visa. the problem is that i lost my passport next to the h1-b visa stamp on it. but i still have the i-94 card in my possession. is there gonna be a problem beside legalizing my status through genuine marriage to a u.s. citizen even short my passport h1-b stamp which expired anyway in 2004? is my i-94 card sufficient enough even without an h1-stamped passport. i very soon have a new passport with no visa stamped on it.

That is not a problem at adjectives. I have a friend of mine that went through the same situation. The I-94 is the biggest problem. As long as it's yours and it matched with the name on your new passport, you should be prefectly fine. American Embassy give you that visa. And i am sure you explain it to them they will understand it.
